Terms of Service
These Terms govern your access to and use of Credentik (the "Service"), operated by Credentik, Inc. ("Credentik", "we", "us"). By creating an account or using the Service, you ("Customer", "you") agree to be bound by these Terms.
Contents
1. Account and access
To use the Service you must register an account on behalf of a healthcare agency (the "Agency"). You represent that you have authority to bind the Agency to these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must be at least 18 and provide accurate registration information. Each user account is personal and may not be shared. You must promptly notify us of any unauthorized access at security@credentik.com.
2. Acceptable use
You agree not to:
- Upload or transmit content that violates law, infringes intellectual property, or contains malicious code;
- Attempt to access another tenant's data, reverse-engineer the Service, or probe for vulnerabilities outside a coordinated disclosure program;
- Use the Service to send unsolicited communications, phish, or otherwise harm individuals;
- Resell, sublicense, or expose the Service to third parties as a standalone offering without our written consent.
We may suspend or terminate access for breach of this section.
3. Your data and PHI
Data you submit to the Service ("Customer Data") remains yours. We process Customer Data to provide and improve the Service, and only as permitted by these Terms, our Privacy Policy, and — for Protected Health Information ("PHI") as defined by HIPAA — our Business Associate Agreement ("BAA").
If you submit PHI to the Service, the BAA is required and incorporated into these Terms by reference. The BAA controls in the event of any conflict between these Terms and the BAA with respect to PHI.
You are responsible for the accuracy and lawfulness of Customer Data and for obtaining all consents necessary to provide that data to us.
4. Fees, billing, and refunds
Paid plans are billed monthly or annually in advance via Stripe. Fees are non-refundable except where required by law. You authorize us to charge your payment method for all fees due. We may suspend the Service for non-payment after a reasonable grace period; we will not delete your data during suspension but reserve the right to delete it after extended non-payment as set out below.
We may change pricing on at least 30 days' notice; changes take effect at your next renewal.
5. Term and termination
These Terms remain in effect while your account is active. Either party may terminate at any time with notice via the Service or by email. On termination, your access ends and we will, upon request within 30 days, return or destroy Customer Data in accordance with the BAA (for PHI) or our Privacy Policy (for other data). After 30 days post-termination we may delete remaining data.
6. Warranties and disclaimers
We provide the Service on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, except where required by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.
You acknowledge that the Service is software-as-a-service and not a substitute for professional clinical, legal, or compliance judgment. You retain sole responsibility for credentialing decisions, claims submissions, and any actions taken based on Service output.
7. Limitation of liability
To the maximum extent permitted by law, in no event will Credentik's aggregate liability exceed the fees paid by you to Credentik in the twelve (12) months preceding the event giving rise to the claim. Credentik shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
This section does not limit liability that cannot be excluded under applicable law (including, where applicable, statutory consumer rights and gross negligence or willful misconduct).
8. Changes to the Service or these Terms
We may update the Service and these Terms from time to time. Material changes will be communicated by email and posted to credentik.com/legal/terms.html at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
9. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. The exclusive venue for any dispute arising from or related to these Terms shall be the state or federal courts located in Orange County, Florida. The parties waive any objection to such venue.
